Join the Migli Affiliate Program

1. Purpose of the Program

The Migli Affiliate Program enables approved affiliates to promote Migli products using unique affiliate codes and/or tracking links in exchange for a commission on qualifying sales, subject to the terms of this Agreement.

Participation in the program is subject to approval at Migli's sole discretion.

2. Legal Relationship

The Affiliate acts solely as an independent contractor.

Nothing in this Agreement shall be deemed to create any partnership, agency, employment, joint venture, or fiduciary relationship between the parties. The Affiliate has no authority to bind, represent, or act on behalf of Migli in any manner.

3. Affiliate Codes, Tracking and Commission

3.1 Migli shall provide the Affiliate with a unique affiliate code and/or tracking link.

3.2 Unless otherwise agreed in writing:

• The commission rate shall be 10% of the net sales value
• Net sales exclude VAT, shipping, refunds, chargebacks, and cancelled orders
• A 10% customer discount may be associated with affiliate codes

3.3 Commissions are earned only on completed, valid, and non-refunded transactions that are correctly tracked.

3.4 Migli reserves the right to:

• Adjust commission rates prospectively
• Withhold, reverse, or cancel commissions arising from non-compliant, fraudulent, misleading, or unlawful activity

4. Payments and Taxes

4.1 Commissions are calculated and paid monthly, subject to a minimum payout threshold determined by Migli.

4.2 Payments shall be made via a payment method designated by Migli.

4.3 The Affiliate is solely responsible for:

• Declaring commissions as income
• Paying all applicable taxes, duties, or social charges

Migli shall have no responsibility for the Affiliate's tax compliance.

5. Brand Use and Marketing Permissions

5.1 Migli grants the Affiliate a limited, non-exclusive, revocable licence to use Migli-approved branding, product images, and marketing materials solely for the purpose of promoting Migli products during the term of this Agreement.

5.2 The Affiliate may promote Migli through lawful channels, including websites, blogs, social media, and email marketing.

5.3 The Affiliate shall not:

• Alter or modify Migli branding or materials
• Register or use domain names, social media handles, or accounts containing "Migli"
• Run paid advertising using Migli brand terms without prior written consent
• Represent themselves as an employee, distributor, or official representative of Migli

6. Product Claims and Cosmetics Compliance

6.1 The Affiliate shall strictly comply with all applicable cosmetics, consumer protection, and advertising laws.

6.2 The Affiliate must not make:

• Medical, therapeutic, or health claims
• Claims of regulatory approval (including but not limited to "FDA approved", "clinically proven") unless expressly authorised in writing
• Safety or performance guarantees beyond Migli's official product information

6.3 All statements about Migli products must align exclusively with Migli-provided materials.

This clause is material and essential to this Agreement.

7. Advertising Disclosure and Transparency

7.1 The Affiliate must clearly and prominently disclose their affiliate relationship in accordance with all applicable laws and regulations, including:

• UK ASA rules
• EU consumer protection legislation
• Any equivalent authority applicable to the Affiliate's audience

7.2 Disclosures must be clear, unambiguous, and appropriately placed (e.g. #ad, #affiliate).

Failure to comply constitutes a material breach of this Agreement.

8. Prohibited Conduct

The Affiliate shall not:

• Engage in misleading, deceptive, or unethical marketing practices
• Use spam, fake reviews, false testimonials, or deceptive traffic sources
• Manipulate, stack, or misuse discount codes
• Self-refer or artificially inflate commissions

9. Term and Termination

9.1 This Agreement enters into force upon acceptance by the Affiliate.

9.2 Migli may terminate this Agreement:

• Immediately in the event of breach, misconduct, or regulatory risk
• Otherwise, upon reasonable notice

9.3 Upon termination:

• Affiliate codes and tracking links shall be deactivated
• The Affiliate shall immediately cease all use of Migli branding and materials
• Commissions attributable to non-compliant or breaching activity may be forfeited

10. Intellectual Property

All trademarks, designs, content, and intellectual property relating to Migli remain the exclusive property of ZETCOSMETICS LIMITED.

No rights are transferred except the limited promotional licence expressly granted under this Agreement.

11. Confidentiality

The Affiliate shall keep confidential any non-public information relating to Migli, including commission structures, performance data, and internal communications, and shall not disclose such information without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law:

• Migli shall not be liable for indirect, incidental, or consequential losses
• Migli's total aggregate liability shall not exceed the commissions paid to the Affiliate in the three months preceding the event giving rise to the claim

Nothing in this Agreement limits liability for fraud, wilful misconduct, or liability that cannot be excluded under applicable law.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Ireland.

The courts of Ireland shall have exclusive jurisdiction.

14. Acceptance

By participating in the Migli Affiliate Program, the Affiliate confirms acceptance of this Agreement and agrees to comply with all its terms.
